- Informing Ace of Ads of any relevant changes that may affect the agreed services
Delays or limitations caused by missing information, delayed approvals, restricted account access, or other client-side issues may affect the delivery or performance of services.
Client-Provided Information & Third-Party Platforms
Client-Provided Information and Access
We rely on information, materials, assets, account access, and instructions provided by clients when delivering our services. Clients are responsible for ensuring that the information and materials they provide are accurate and that they have the necessary rights and permissions to provide them to us.
Where our services require access to a client's advertising or marketplace accounts, such access will be used only as reasonably necessary to provide the agreed services. The client remains the owner of its advertising, seller, marketplace, and other business accounts.
Third-Party Marketplace Platforms
Our services may involve working with third-party platforms including Amazon, Flipkart, Blinkit, Zepto, and Swiggy Instamart. These platforms operate independently from Ace of Ads and have their own terms, policies, algorithms, advertising systems, fees, eligibility requirements, and operational processes, which may change at any time.
Ace of Ads does not control these third-party platforms and cannot guarantee their actions, decisions, approvals, account status, ranking systems, advertising performance, or availability. Ace of Ads is not affiliated with, endorsed by, or officially connected to Amazon, Flipkart, Blinkit, Zepto, or Swiggy Instamart unless explicitly stated. Clients remain responsible for complying with the applicable terms and policies of the third-party platforms they use.
Advertising Accounts & Campaign Management
Where we manage advertising campaigns or accounts on behalf of a client, we do so based on the strategy, budget, information, access, and objectives agreed with the client. Campaign performance may vary due to factors including:
- Competition, product demand, and pricing
- Market conditions and advertising budget
- Product or listing quality
- Platform policies and algorithm changes
- Account history and performance
- Factors outside the control of Ace of Ads
Changes made by third-party platforms or changes in market conditions may affect campaign performance without prior notice.
Payments & Invoicing
Fees, payment schedules, and other commercial terms for a specific engagement will be set out in the applicable proposal, quotation, invoice, contract, or other written agreement. Ace of Ads may require advance or periodic payments depending on the terms agreed with the client.
The minimum monthly service engagement may vary depending on the scope and requirements of the client. Commercial terms agreed in writing for a specific engagement will take precedence. Any advertising or media spend payable to third-party advertising platforms is separate from Ace of Ads' professional service fees unless expressly stated otherwise in the applicable agreement. Clients are responsible for making payments within the agreed payment timelines.
Intellectual Property & Confidentiality
Intellectual Property
Unless otherwise agreed in writing, the content and materials published on the Website, including text, graphics, logos, design elements, and other original materials, are owned by Ace of Ads or its respective licensors. Any specific confidentiality obligations agreed in a separate contract or non-disclosure agreement will apply to the relevant client engagement.
No Guarantee of Advertising Performance
Ace of Ads does not guarantee specific advertising or business results, including but not limited to:
- Sales, revenue, or leads
- Rankings or profit
- Return on Ad Spend (ROAS)
- Advertising cost reductions
- Marketplace growth
Advertising and e-commerce performance depends on numerous factors, including the product, pricing, competition, market demand, budget, account history, marketplace policies, and platform algorithms.
